1.1 Welcome to the EdBuddies.ai mobile app and/or platform (“EdBuddies”, “Platform”). These Terms of Use govern your access to and use of the Platform and any services, features, information, or functions provided via EdBuddies (“Services”). By accessing or using this Platform and/or Services, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, please do not access or use EdBuddies.ai.
1.2 These Terms of Use constitute a legally binding agreement between you and EDUSPHERE TECHNOLOGIES SDN BHD . (Company No 202501007158 (1608572-U)), a company incorporated in Malaysia and having its registered address at A-23A-7, TOWER A, VERTICAL BUSINESS SUITE, AVENUE 3, BANGSAR SOUTH, NO. 8, JALAN KERINCHI 59200, KUALA LUMPUR (“EdBuddies”, “we”, “us”, or “our”).
1.3 EdBuddies reserves the right to change, update, or modify these Terms of Use at any time. All changes will be effective when posted on the Platform. Your continued use of EdBuddies after such changes constitutes your acceptance of the revised terms.
1.4 If you are under 18 or the legal age of consent in your jurisdiction (“Legal Age”), you must obtain consent from your parent(s) or legal guardian(s) to use EdBuddies. By allowing a minor to use this Platform, the parent or guardian agrees to these Terms of Use on the minor’s behalf and assumes full responsibility for their actions and use of the Services.
2. Use of Platform and Services
2.1 We grant you a limited, non-exclusive, non-transferable, and revocable license to use EdBuddies solely for managing and participating in educational activities. Use for commercial purposes or on behalf of a third party is prohibited unless explicitly authorized by us.

2.4 We may update, suspend, or discontinue the Platform or any part of the Services at any time without prior notice.

- Monitor activity on the Platform;
- Restrict access to any user;
- Report suspicious activities to the relevant authorities;
- Request additional information from you to verify your identity and usage of the Services.
3. User Submissions
3.1 All data, text, media, and content submitted or uploaded by you (“Content”) remains your property.

- You permit EdBuddies to allow educators and students to access, use, or feature the Content for educational purposes.
4. Intellectual Property
4.1 All Intellectual Property rights in the Platform—including design, software, graphics, logos, and underlying source code—are owned by EdBuddies or its licensors.
4.2 You may only use the Platform content for personal, non-commercial purposes. No part may be copied, reproduced, distributed, or modified without written consent.
5. Limitation of Liability
5.1 The Platform and Services are provided “as is” and “as available.” EdBuddies makes no warranties regarding reliability, availability, or accuracy.
5.2 We are not responsible for:
- Interruptions or delays in the Platform;
- Loss or corruption of data;
- Unauthorized access to accounts;
- Links to external sites or third-party content.
5.3 Your use of the Platform is at your own risk. EdBuddies disclaims all liability for damages arising from your access or use of the Platform or Services.
6. Third-Party Links

7. APPLICABLE LAW AND JURISDICTION
7.1 These Terms of Use and/or any additional terms and conditions applicable to EdBuddies.ai shall be governed by and interpreted in accordance with the laws of Malaysia. Subject to the Arbitration section below, you agree to submit to the exclusive jurisdiction of the courts of Malaysia for the resolution of any disputes arising from or related to these Terms.
8. ARBITRATION
8.1 Any dispute, controversy, or claim arising out of or in connection with these Terms of Use, including any question regarding their existence, validity, or termination, shall be referred to and resolved by arbitration administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, Malaysia. The arbitration shall be conducted by a sole arbitrator who is legally qualified, experienced in technology-related matters, and independent of both parties. The arbitration shall be conducted in Malaysia, and the language of arbitration shall be English. The decision of the arbitrator shall be final and binding.
8.2 Notwithstanding the foregoing, EdBuddies.ai reserves the right to seek injunctive or equitable relief through the courts for the protection of its intellectual property rights or confidential information.
9. TERMINATION
9.1 Without prejudice to any other legal or equitable remedies available, EdBuddies.ai may, at its sole discretion and without prior notice, immediately suspend or terminate your access to the Platform and/or Services, and revoke any rights granted under these Terms of Use. Upon such termination, you must immediately cease all use of the Platform and/or Services. EdBuddies.ai may disable your account access, revoke passwords or login credentials, and deny further access to the Platform or Services in part or in full.
9.2 Termination shall not affect any rights or obligations of the parties that accrued prior to the termination date, including but not limited to payment obligations. You agree that EdBuddies.ai shall not be liable to you or any third party for any suspension or termination of your access. If you are dissatisfied with the Platform, Services, or any terms, policies, or practices of EdBuddies.ai, your sole and exclusive remedy is to discontinue use of the Platform and/or Services.
